You agree to:

  • Provide timely and accurate information necessary for the provision of Services.
  • Maintain your own backups of data, content, and systems unless a backup service is explicitly included in your service agreement.
  • Ensure that any content you provide to us does not infringe on the rights of any third party.

  • Not use our Services for any unlawful, harmful, or malicious purpose.

7. Intellectual Property

All content, branding, designs, code, and intellectual property created by the Company remain the property of Omnicron Business Solutions until full payment has been received. Upon full payment, ownership of custom-designed deliverables (such as websites or applications) transfers to the Client, excluding third-party components, open-source software, and tools developed by the Company for general use.

The Client retains ownership of all content and data provided to the Company for use in the Services.

8. Limitation of Liability

To the maximum extent permitted by South African law, the Company shall not be liable for:

  • Loss of Data: Any loss, corruption, or damage to data, files, or information. The Client is responsible for maintaining independent backups of their data.
  • Loss of Service: Any interruption, downtime, or unavailability of Services, whether caused by system failures, maintenance, third-party providers, internet connectivity, or events beyond our control.

The Company's total aggregate liability for any claim arising out of or relating to these Terms or the Services shall not exceed the total amount paid by the Client to the Company for the specific Service giving rise to the claim in the three (3) months preceding the event.

9. Warranties and Disclaimers

The Company provides Services on an "as is" and "as available" basis. While we strive to deliver high-quality, reliable Services, we make no warranties or representations, express or implied, regarding:

  • The uninterrupted or error-free operation of any Service or website.
  • The security or absolute protection of data against all forms of breach or loss.
  • The accuracy, completeness, or reliability of any third-party content or integrations.
  • That any Service will meet your specific requirements or expectations.

To the extent permitted by law, all warranties, conditions, and representations are excluded.

10. Indemnification

The Client agrees to indemnify and hold harmless Omnicron Business Solutions, its directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, or expenses (including legal fees) arising out of or relating to:

12. Domain Registration and Hosting

Domain registrations are subject to the terms and policies of the relevant domain registry and registrar. The Company acts as a facilitator and is not responsible for domain availability, registry decisions, or domain loss due to non-renewal or registrar policies. Hosting services are subject to acceptable use policies, and the Company reserves the right to suspend services that violate these policies.

Upon termination, the Client remains responsible for all outstanding fees. The Company may retain data for a reasonable period after termination, after which it will be securely deleted unless retention is required by law.

14. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the provision of Services. This obligation survives termination of the service relationship.

15. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the South African courts, unless otherwise agreed by both parties.

16. Dispute Resolution

In the event of a dispute, the parties agree to first attempt to resolve the matter through good-faith negotiation. If the dispute cannot be resolved within 30 days, the matter may be referred to mediation before pursuing formal legal proceedings.

17. General Provisions
